Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective March 1, 2022, David Verret was appointed Chief Financial Officer (“CFO”) of Live Ventures Incorporated (the “Company”). For the last five months, Mr. Verret has been the Chief Accounting Officer (“CAO”) for the Company, in accordance with his employment agreement, a copy of which was attached to the Current Report on Form 8-K dated October 1, 2021. Mr. Verret’s salary will be increased from an annual base salary of $250,000 to $275,000, and he shall continue to be eligible for an annual performance bonus and entitled to participate in all benefit programs or plans sponsored by the Company. There are no family relationships between Mr. Verret and any of the Company’s officers or directors and Mr. Verret has not engaged in any related party transactions.
